Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Esmeris service ("Service") operated by Esmeris Inc. ("Esmeris," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Esmeris provides a read-only security audit service that connects to Google Workspace and Microsoft 365 environments to identify third-party application access, account risks, and authentication gaps. The Service generates reports for informational purposes only and does not modify, remediate, or take action on your behalf unless you explicitly request and authorize additional features.
2. Eligibility and accounts
You must be at least 18 years old and have authority to bind your organization to these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information when creating your account and keep it current.
3. Authorization and access
By connecting a Google Workspace or Microsoft 365 tenant to the Service, you represent that you are an authorized administrator of that tenant and have the authority to grant the permissions requested. You are responsible for ensuring that connecting your tenant complies with your organization's policies and any applicable law. You may revoke access at any time by disconnecting the tenant through the Service or directly through your identity provider's admin console.
4. Acceptable use
You agree not to: use the Service to audit organizations you are not authorized to administer; attempt to circumvent any security or access controls; use the Service for any unlawful purpose; resell or sublicense the Service without written permission; or interfere with the operation of the Service. We reserve the right to suspend or terminate accounts that violate these restrictions.
5. Subscriptions and billing
Paid plans are billed monthly or annually in advance. All fees are non-refundable except where required by law or as otherwise stated at the time of purchase. We may change pricing with 30 days' notice. If you do not agree to a price change, you may cancel before it takes effect. Failure to pay may result in suspension or termination of your account.
6. Data and privacy
Our collection and use of information is governed by our Privacy Policy, which is incorporated into these Terms. You retain ownership of your data. You grant us a limited license to process your data solely to provide the Service. We process data obtained from Google APIs in accordance with the Google API Services User Data Policy, including the Limited Use requirements.
7. Security reports and findings
The reports and findings generated by the Service are provided for informational purposes only. They do not constitute legal, compliance, or professional security advice. We make reasonable efforts to provide accurate findings but do not guarantee that reports are complete, error-free, or reflect all risks in your environment. You are responsible for evaluating findings and taking appropriate action.
8. Intellectual property
The Service, including its software, design, and content, is owned by Esmeris and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand features. You retain ownership of your data and reports generated from your data.
9. Disclaimer of warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
10. Limitation of liability
To the maximum extent permitted by law, Esmeris shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service. Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amounts you paid to us in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Esmeris and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any third-party right.
12. Termination
Either party may terminate the agreement at any time. You may cancel your account through the Service. We may suspend or terminate your access for violation of these Terms, non-payment, or at our discretion with reasonable notice. Upon termination, your data will be deleted according to the schedule described in our Privacy Policy.
13. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
14. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
